GENERAL TERMS AND CONDITIONS OF SALE AND PROVISION OF SERVICES

The website https://northernknife.co.uk (hereinafter, "the Website") is owned by Starlight Solutions Limited, (hereinafter, "the Company") and is hosted by Shopify Inc. (hereinafter, "the Host"). The Host provides the online e-commerce platform for the sale of our products and services.

By accepting these Terms and Conditions, you represent that you have reached the age of majority in your state or province of residence, or consent to the use of the Website by a minor.

1. Purpose

The present general terms and conditions of sale are intended to:

  • Define the contractual relationship between Starlight Solutions Limited, the company with its registered office at 2301 bayfield building, 99 Hennessy road, Wam Chai, Hong Kong, and Shenzen Technology Co. Ltd (hereafter, "the Seller") with its registered office at 25D, Black A, 1866 Lvjing Residence, Minzhi Street, Longhua New District, Shenzen City and the buyer

Define the conditions applicable to any purchase made through the Website, whether the buyer is a professional or a consumer.

The Company reserves the right to modify these terms and conditions at any time. In this case, the applicable conditions shall be those in force at the date of the order by the buyer.

The sale, once concluded, shall be between the seller and the buyer excluding Starlight Solutions Limited who provides and manages the website.

 

 

By accessing and using the Website in any way, including browsing the Website, creating an account or contributing content or other materials to the Website, you expressly understand, acknowledge and agree to be bound by the Terms of Use.

By accepting these Terms of Use, the buyer declares that he/she has reached the age of majority in the state in which he/she resides. The use of our products for illegal or unauthorised purposes is prohibited.

2. Characteristics of the goods and services offered

The products and services offered are those listed in the catalogue published on the Company's website and are offered by a duly identified Seller who shall bear responsibility for them.

These products are offered for sale subject to availability.

The photographs and colours of the products featured on the website provided by the Seller under its responsibility shall in no way constitute a guarantee of perfect similarity with the product offered, especially with regard to colours.

3. Prices

On the checkout page, the main price is displayed including VAT. However, in some cases, the buyer may be required to pay VAT, other taxes, customs duties and/or charges levied by the destination country.

The Company reserves the right to modify its prices at any time, provided however that the price appearing in the catalogue on the day of the order shall be the only one applicable to the buyer.

In the event of a VAT related error, such error may be subject to adjustment in accordance with the applicable regulations.

The prices indicated do not include the costs of order processing, transport, and delivery insofar as such costs apply.

4. Geographical area

The Company reserves the right, but is under no obligation, to restrict sales of their products or services to any person, geographic area, or jurisdiction or to limit the quantities sold.

5. Orders

It is the responsibility of the buyer to provide complete and accurate information and to confirm the information and contents related to the various items they wish to purchase via the information provided before submitting an order.

It shall be assumed that the buyer has full knowledge and understanding of the details of the items they are purchasing when submitting the order, the Company shall not be liable for any problems arising after the sale, resulting from misinterpretation of the information and related content on the website.

Once the items have been selected, they will be added to the buyer's basket.

The buyer must then:

  •  Fill in the order form with all the required information or provide their customer number if they have one,

  • Validate the order after reviewing it,

  • Make the payment in accordance with the conditions provided,

  • Confirm the order and payment.

The Company shall not be liable if the information made available on the website is not accurate, complete or up to date.

The Company reserves the right to refuse any order placed on its Website. It may, at its sole discretion, limit or cancel the quantities purchased per person, per household or per order.

These restrictions may include orders placed by or with the same customer account, the same credit card and/or orders using the same billing and/or shipping address.

The buyer declares that they are not a business and that they are not ordering for resale purposes.

In the event of a change or cancellation of an order, the Company will attempt to notify the buyer of such change or cancellation via the email address and/or billing address/phone number provided at the time of ordering.

It reserves the right to limit or prohibit orders which, in their fair judgment, appear to have been placed by dealers, resellers or distributors.

By confirming the order, the buyer accepts these terms and conditions of sale, confirms having full knowledge of them and waives the right to rely on their own terms and conditions of sale or any other terms and conditions.

All the data provided, and the confirmation of the order shall be considered as proof of the transaction. The confirmation shall constitute acceptance of the operations carried out between the buyer and the seller.

The Company shall confirm the registered order by e-mail.

6. Third Party Links

The Company may provide buyers with access to third party payment instruments or methods over which it has no control or influence, and which buyers choose to use under their own responsibility in accordance with the terms and conditions established by such third parties.

As such, no liability shall arise on the part of the Company. Any use by you of the Third-Party Tools is entirely at your own risk and you must ensure that you are aware of and agree to the terms and conditions under which the tools are provided by the relevant third party providers.

Some content, products, and services available through the Company's service may include material from third parties or content posted by third parties on the web pages.

URLs on the website may direct you to third party websites that are not affiliated with the Company.

The Company shall not be liable for any damages or injury arising from the purchase or use of goods, services, resources, content, or any other transactions conducted in connection with third party websites.

7. Errors, inaccuracies, and omissions

Should any information contain typographical errors, inaccuracies or omissions that may relate to product descriptions, prices, promotions, offers, product shipping costs, transit times and availability, the Company reserves the right to correct, amend, update the information, or cancel orders if the information contained in the service or any associated website is inaccurate, at any time and without notice (including after submission of the order).

8. Withdrawal

Buyers, i.e., non-professional natural persons, benefit from a fourteen-day withdrawal period from the date of receipt of their order to return the product to the seller for reimbursement without penalty. It should be noted that the return costs shall be borne by the buyer.

9. Termination

In the event that, in the Company's sole discretion, customers fail, or are suspected of failing, to comply with any of the terms or provisions of these Terms of Service, the Company may terminate this Agreement at any time, without notice to you or the Vendor, and you shall remain liable for all amounts due up to and including the date of termination.

10. Terms of payment

Payments via the website are made by credit or debit card i.e.: Visa, MasterCard, American Express or Union Pay, PayPal, online banking, Apple Pay, etc.

To minimise the risk of unauthorised access, the buyer's credit card details are encrypted.

Once the order is received, the Company requests a pre-authorisation on the card to ensure that there are sufficient funds to complete the transaction.

No information relating to the financial transaction is kept or recorded.

11. Shipping

The Company is responsible for the sale but not for the shipment of products ordered through the website. The Seller ships the products mainly from China. The transport of the goods is entrusted to a third-party logistics company chosen by the Seller.

The products are shipped directly to the client's address.

12. Delivery

Deliveries are made to the address indicated in the order confirmation, which can only be within the agreed geographical area.

Delivery time varies depending on the time required for processing, order verification and quality control during the first 48 to 96 hours following order confirmation and production.

Production and delivery are indicated at the time of payment, they can vary between 5 to 12 working days.


The Seller endeavours to deliver orders as quickly as possible. However, it may happen that, during specific periods, delivery times are longer. In particular, the delivery time may be longer than usual due to COVID-19 or any other customs or geopolitical constraints, as well as various logistical restrictions. All special precautions necessary for the processing and security of orders are taken.

When the package is delivered to the carrier, it is considered to have been delivered to the buyer, the risk of loss or damage is transferred from the seller to the buyer. Therefore, in the event of damage during transport, the claim must be made to the carrier within three days of delivery. The liability of the Seller shall no longer apply, and the liability of Starlight Solutions Limited, which is not a party to the sale, shall in any case be excluded.

Delivery times shall be indicative only; should delivery time exceed thirty days from the date of order, the contract of sale with the Seller may be terminated and the Buyer reimbursed.

However, in the event of a delivery or other issue, the Company shall do everything in its power to contact the seller and/or the carrier to resolve the situation.

13. Reviews and comments

If, the buyer enters certain specific submissions, proposals, such as contest entries, or if, at no request from the Company, the customer submits creative ideas, suggestions, proposals, designs or other materials, online, by email, mail or otherwise, the customer agrees that the Company may edit, copy, publish, distribute, translate and otherwise use the submissions made to them in any medium and relinquishes any claim to intellectual property, payment or compensation from the Company to which it transfers any rights.

The Company shall be under no obligation to keep any comments confidential; to pay compensation for any comments; or to respond to any comments. Comments shall be at the sole responsibility of the author of the comment.

The Company may, but is under no duty to, monitor, edit or remove content that it deems unlawful, offensive, threatening, defamatory, pornographic, obscene or otherwise objectionable or that violates any party's intellectual property or these terms and conditions.

The buyer agrees that the comments shall not violate the rights of others including copyrights, trademarks, privacy, personality or any other personal or proprietary rights.

The buyer further agrees that their comments shall not contain any defamatory or otherwise unlawful, offensive or obscene material, computer viruses or other malicious software that may in any way affect the operation of the website or any advertising, solicitation or commercial, religious, political, personal or institutional attack, confrontational or irrelevant messages.

The buyer may not use a false e-mail address, false identity, pretend to be someone other than him/herself or provide misleading information about him/herself (age, status as a trader or not, gender, location, etc.), or mislead the Company or a third party as to the origin of a comment. The buyer is solely responsible for the comments he/she makes and their accuracy. The Company assumes no responsibility for comments posted by the customer or any other party.

14. Warranty

In the event of a complaint about your order, please contact customer service by email at contact@northernknife.co.uk as soon as possible upon receipt of your parcel to enable the Company to inform the Seller and/or the Carrier if necessary.

The warranty, provided by the seller, can only be invoked within 30 days from the date of receipt.

In case of non-conformance of a sold product, such product may be returned to the Seller via post who will provide a refund.

Any claim for an order shall be invalid after 60 days from the date of invoice.

15. Liability

During the online sale, the Seller shall be liable and the Company, which is limited to providing the platform hosted by Shopify Inc, shall be bound by a relative obligation, and shall not be liable for any damage resulting from the use of the Internet, access to third party content, network or configuration problems such as loss of data, hacking, viruses, service interruptions or other unintended problems.

16. Personal Data

The submission of personal information through the website is subject to the Privacy Policy.

17. Intellectual Property

All information and content related to items displayed on the website, including price, details, dimensions, weight, descriptions, and specifications of the items are translated by Us from information obtained from Seller sources and the items or related information are not owned, manufactured, sold or endorsed by the Seller.

The collection, arrangement, and assembly of all content on the website is the exclusive property of the Company.

18. Dispute resolution

If any disputes arising from this Agreement cannot be resolved within 30 days of their occurrence, the disputing parties agree to submit such disputes to Hong Kong law and the courts of Hong Kong

19. Applicable law

This agreement shall be governed by and construed in accordance with the laws of Hong Kong. If the buyer is resident in a country of the European Union, he/she shall also be entitled to the rights protecting him/her under the mandatory provisions of the law and the applicable provisions of the country of residence.
